These terms govern your use of Clause Shepherd, our AI-assisted contract review service. By creating an account or using the service, you agree to them. We've kept the legalese light — but one point matters enough to say up front, before anything else.
Our analysis is informational and generated by AI. It is not a substitute for advice from a qualified, licensed attorney, and using Clause Shepherd does not create a lawyer–client relationship. For decisions that carry real consequences, consult a lawyer in your jurisdiction. You rely on the output at your own discretion.
Acceptance of terms
By creating an account, uploading a contract, or otherwise using Clause Shepherd, you agree to these terms and to our Privacy policy. If you don't agree with any part of them, please don't use the service.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use Clause Shepherd. If you're using it on behalf of a business, you confirm you have the authority to accept these terms for that business — in which case "you" means that business.
Description of service
Clause Shepherd is an AI-assisted contract review tool. You upload a PDF or DOCX, choose your role and the contract type, and we produce a plain-English risk analysis — a verdict, flagged clauses, and a downloadable report. It's designed to help you understand a document and ask better questions before you sign.
The analysis is generated by AI models and, like any AI, it can be incomplete or wrong. It may miss issues, misread context, or flag things that aren't actually problems. Treat the output as a careful first read, not a final word.
Clause Shepherd is not a law firm, does not practice law, and does not provide legal, financial, or tax advice. Nothing the service produces creates a lawyer–client relationship. When the stakes are high, have a qualified attorney review your contract before you sign it.
User responsibilities
You're responsible for the contracts you upload and for what you do with the analysis. In particular:
Only upload contracts you own or are authorized to share. Don't upload documents covered by a confidentiality obligation you'd be breaking, or that belong to someone who hasn't agreed to this.
The decision to sign, negotiate, or walk away is yours. You're responsible for verifying the analysis and seeking professional advice where it matters.
Keep your login credentials confidential. You're responsible for activity that happens under your account, so let us know promptly if you suspect unauthorized access.
Acceptable use policy
Clause Shepherd is for reviewing contracts, full stop. To keep the service safe and reliable for everyone, you agree not to:
Share documents you have no right to, or that infringe someone else's rights.
Reverse-engineer, scrape, overload, or attempt to breach the security of the platform.
Resell, sublicense, or pass off the service as your own without our written consent.
Use Clause Shepherd for anything illegal, fraudulent, or harmful to others.
We may suspend or remove access if we reasonably believe these rules are being broken. We'll act proportionately and, where we can, tell you why.
Subscription and billing
Some features require a paid plan. Payments are handled by our merchant of record, Paddle, who processes your billing details and issues invoices — we don't store your card information ourselves.
Subscriptions
Lifetime deal (LTD)
Prices may change, but we won't change the price of an existing subscription term without notice. LTD purchases are tied to the account that bought them and aren't transferable unless we say otherwise. Taxes are calculated and collected by Paddle based on your location.
Intellectual property
Your contracts stay yours. You keep all rights to the documents you upload and to the analysis we generate from them. We claim no ownership over your content, and we don't train AI models on it.
Clause Shepherd stays ours. The platform itself — the software, branding, design, and the way we present analysis — belongs to us and our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service; they don't transfer any of our intellectual property to you.
You grant us only the narrow permission needed to operate the service — for example, to process an uploaded file in order to return your analysis. We use trusted sub-processors to do this, as described in our Privacy policy.
Limitation of liability
Clause Shepherd is provided on an "as is" and "as available" basis. Because the analysis is AI-generated and informational, we can't guarantee it's complete, accurate, or suitable for your specific situation.
To the fullest extent permitted by law, Clause Shepherd and its team won't be liable for any indirect, incidental, or consequential losses, or for any decision you make — or don't make — based on the service. This explicitly includes losses arising from relying on the analysis instead of consulting a qualified attorney.
Where liability can't be excluded, our total liability to you is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that can't be limited under applicable law.
Termination
You can stop using Clause Shepherd and close your account at any time from your account settings. When you do, we handle your data as described in our Privacy policy.
We may suspend or terminate your access if you materially breach these terms — for example, by violating the acceptable use policy — or if we're required to by law. Where it's reasonable and appropriate, we'll give you notice and a chance to put things right first. Sections that by their nature should survive termination — such as intellectual property, limitation of liability, and governing law — continue to apply.
Changes to these terms
We may update these terms as the product evolves or the law changes. When we make a material change, we'll update the "last updated" date at the top and, where appropriate, let you know by email or an in-app notice.
If you keep using Clause Shepherd after a change takes effect, that means you accept the updated terms. If you don't agree with a change, you're free to stop using the service and close your account.
Governing law
These terms are governed by the laws of [Jurisdiction placeholder], without regard to its conflict-of-law rules. Any dispute relating to these terms or the service will be subject to the exclusive jurisdiction of the courts of [Jurisdiction placeholder], except where applicable consumer-protection law gives you the right to bring proceedings elsewhere.
